Privacy Agreement

GrubHub, Inc. ("GrubHub") collects certain information through its websites and mobile sites, located at www.GrubHub.com, www.allmenus.com, and its blog, located at http://blog.grubhub.com/ ("The Daily Grub") (the "Sites"), as well as DeliveryHub and the OrderHub (the "Applications")(collectively, "Services"). Your privacy is important to GrubHub and this Privacy Policy lays out GrubHub's policies and procedures surrounding the collection and handling of such information. This Privacy Policy applies only to the Services. It does not apply to any restaurant sites, other third party services linked to GrubHub Services or offline activities related to GrubHub services.

1. Information GrubHub Collects

   GrubHub may collect the following information from users of our Services: first name, last name, street address, city, state, zip code, cross streets, phone number, e-mail address, Services-specific display name, GPS location (mobile site), electronic signature and credit card information (collectively, "Personally Identifiable Information" or "PII"). GrubHub is not intended for use by children under the age of 13 and GrubHub does not knowingly collect PII from children under the age of 13. Use of Sites services requires that you register and/or create an account ("Account") or use the Sites as a guest. In addition to the PII set forth above, GrubHub may collect information regarding Account holders' past GrubHub orders, favorite restaurants, customer service inquiries, service/restaurant reviews and certain social networking preferences relating to the Sites (e.g. pages or entities you like, recommend or follow).

   
   

   In addition, GrubHub may collect information regarding GrubHub account holders' current and past GrubHub orders, gratuity amounts, favorite restaurants, customer service inquiries, service/restaurant reviews and certain social networking preferences (e.g. pages you "Like" or "Recommend").

   
   

   GrubHub also uses web analytics software to track and analyze traffic for its Services in connection with GrubHub's advertising and promotion of GrubHub services. GrubHub also aggregates certain information collected by the Applications including, but not limited to, certain order data, gratuity information, delivery locations, delivery driver mileage, and delivery driver location. GrubHub may publish these statistics or share them with third parties without including PII.

   
   

   GrubHub may collect additional PII in connection with The Daily Grub blog submissions including professional title, business/personal website, social networking handle/username and the author's photograph.

2. GrubHub's Use Of Collected Information

   GrubHub uses PII to create users' GrubHub accounts, to communicate with users (directly and through restaurants and delivery drivers) about GrubHub services, to offer users additional services, promotions and special offers and to charge for purchases and gratuities made through GrubHub. Users may opt to allow GrubHub to store certain PII used to create users' GrubHub accounts, including, but not limited to, credit card information. GrubHub uses certain stored PII to customize future order processing for you. You may request that GrubHub cease storing certain PII at any time, but you might not be able to take advantage of certain customized features. Users may affirmatively opt-out of receiving promotional communications from GrubHub by visiting http://www.GrubHub.com and providing GrubHub with their e-mail address via the opt-out link. GrubHub may also use PII to enforce GrubHub terms of use and service.

   
   

   GrubHub uses PII submitted by authors of The Daily Grub blog content by publishing that information on The Daily Grub, and as otherwise agreed by GrubHub and submitting author. By submitting PII to GrubHub in connection with Daily Grub blog content, the author agrees to GrubHub's publication of that PII, and any other PII included within the blog content, on The Daily Grub.

   
   

   GrubHub uses cookies to remember users on the Sites and to enhance users' experience on the Sites. For example, when users with GrubHub accounts return to the Sites, cookies identify those users and allow the Sites to provide certain user-specific information such as GrubHub account information, past orders, favorite restaurants and user restaurant reviews.

   
   

   GrubHub does not sell the information it collects through the Services to third parties. GrubHub shares collected PII to third-party vendors and service providers with whom GrubHub works to provide application programming interfaces ("APIs") and other functions for the Services in connection with the delivery of GrubHub services. In addition, GrubHub shares users' GrubHub order content, special order instructions, first and last name, street address, e-mail address, telephone number and gratuity amounts with restaurants where users' orders are placed and delivery drivers, to the extent necessary to process and deliver those orders. GrubHub may also disclose PII to third parties such as attorneys, collection agencies, tribunals or law enforcement authorities pursuant to valid requests in connection with alleged violations of GrubHub terms of use and service or other alleged contract violations, infringement or similar harm to persons or property. DeliveryHub users must consent to the DeliveryHub Terms of Use (http://www.grubhub.com/deliveryhub/termsofuse).

   
   

   User generated content posted through the Sites such as service/restaurant reviews and certain social networking preferences (e.g. pages you "Like" or "Recommend") may be viewed by the general public. Accordingly, GrubHub cannot ensure the privacy of any PII included in such user generated content.

3. GrubHub's Protection of PII

   GrubHub uses reasonable security measures equal to or exceeding industry standard to protect PII from unauthorized access, destruction, use, modification and disclosure. Unfortunately, even with these measures, GrubHub cannot guarantee the security of PII. By using the Services, you acknowledge and agree that GrubHub makes no such guarantee, and that you use the Services at your own risk.

4. Accessing and Correcting Your PII

   Registered GrubHub account holders can access and change their own PII using the "Edit" function on the GrubHub website. If you have questions regarding GrubHub's use or collection of your PII, please contact GrubHub's privacy officer at: accounts@grubhub.com.

5. Privacy Policy Amendments

   GrubHub may change this Privacy Policy at any time by posting a new version on this page or on a successor page. The new version will become effective on the posting date, which will be listed at the top of the page as the effective date.

2. Promotion Period and How to Play: The Game begins on March 11, 2013, at 12:00:00 a.m. Central Time (CT) and ends on May 31, 2013 at 11:59:00 p.m. CT (the "Promotion Period"). Sponsor's computer is the official time-keeping device for the Game.

Place orders through the GrubHub website (GrubHub.com) or mobile application. During the Promotion Period, to play the Game, Entrant must do the following: (a) log into his/her GrubHub account, or create a GrubHub account; and (b) place and pay for an order ("Order") on GrubHub.com ("Website") or Sponsor's mobile application for iPhone or Android ('Mobile App'). Once Entrant places an Order, s/he is eligible to play the Game on the Website or Mobile App for a chance to win a prize as described below ("Prize"). To play the Game, Entrant will go to the Website or Mobile App, log on into his/her GrubHub account, click on Entrant's individual GrubHub page, and follow the prompts to play the Game. Following Entrant's Game play, a Game play message will be displayed informing Entrant of his/her Prize, subject to verification. Screen shot or other similar replica of Game play message shall not be considered by Sponsor. Sponsor's records regarding winning Game plays shall govern. After an initial Game play, an Entrant will be eligible to play the Game again (for a chance to win a Prize) during the Promotion Period, after placing three (3) additional Orders. Thereafter, Entrant may earn one additional Game play for every three additional eligible Orders placed. ("Game Play"). Entrant may forfeit any credits earned towards a Game Play, if entrant has not placed sufficient eligible Orders during the Promotion Period. Creating a GrubHub account is free. Entrants must place Orders by using their own GrubHub account to be eligible to play the Game. Placing an order by using Guest accounts, Facebook Connect or through any affiliates or Sponsor's mobile website browser will not constitute an Order for the purposes of Game eligibility. Entrant must play the Game and claim any Prize(s) on the Website or Mobile App. Sponsor's mobile website browser may not be used to play Game or claim Prize(s). Some restaurants may not permit Entrant to redeem Prizes, which will be indicated on the Order page.

Free method of entry. During the Promotion Period, Entrants may also receive a Game play by sending a postcard postmarked during the Promotion Period, and received by Sponsor no later than June 7, 2013, to Sponsor with including all the following accurate information (collectively, "Postcard Entry") (Information provided must match Entrant's GrubHub account information):

• The Entrant's first and last name
• The Entrant's full street address, city, state and zip code
• The Entrant's email address
• The Entrant's date of birth
• A statement in substantially the following form: "Please play the Yummy Rummy game for me."
• A unique statement not exceeding 25 words describing why you love GrubHub. (Statement shall be used for Game play eligibility only and suitable content shall not affect Entrant's odds of winning the Game).

Any content that, in the sole opinion of Sponsor, is considered inappropriate or not suitable, will be disqualified, and no Game play will be awarded for that Postcard Entry. Each Postcard Entry must be mailed separately. Multiple Postcard Entries delivered in a single envelope will be disqualified. Upon Sponsor's receipt of the first Postcard Entry from an Entrant, Sponsor will play the Game on behalf of such Entrant. Thereafter, Sponsor will play the Game again on behalf of that Entrant one time for every three (3) subsequent Postcard Entries received. Sponsor will attempt to notify Postcard Entrant potential winners in writing at the address provided on the Postcard Entry within 10 days after playing the Game on its behalf.

Prizes/Drawings: During the Promotion Period, potential Game winners will be randomly selected by Sponsor's computer program from among all eligible Game plays completed. Prizes are non-transferable and no substitution will be made except as provided herein or at the Sponsor's sole discretion. Sponsor reserves the right to substitute a prize for one of equal or greater value if the designated prize should become unavailable for any reason. Winners are responsible for all taxes and fees associated with prize receipt and/or use.

Order credit prizes will be in the form of a credit ("Credit") applied to Entrant's GrubHub account to order food through the Website or Mobile App. It may take up to twelve (12) hours for Credit to be available through winner's GrubHub account. All prizes may be redeemed for either food or beverage orders totaling an amount less than or equal to the Prize value (Credit Prizes) or the specified food or beverage item (Free Drink/Dessert Prizes) without any additional purchase or cost. Some menu item and restaurant selection restrictions may apply to ensure certain Prizes can be redeemed without additional purchase or cost. Free Drink prizes may not be used to purchase alcohol. Sponsor is not responsible for exceptions or abuse to this alcohol policy. Free Drink and Free Dessert prizes have a maximum value and cannot be applied to items over that value. Credit Prizes will, (a) roll over each week and accumulate, and (b) carry a balance (through expiration date) if they are not completely used in one order. Free Drink, Free Dessert, and Credit prizes (except for Food for Friends and Free Food for a Year Prize) will expire thirty (30) days after Entrant is notified of winning Game play. Disputes: Except where prohibited, Entrant agrees that: (1) any and all disputes, claims and causes of action arising out of or connected with this Game or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the United States District Court for the Northern District of Illinois or the appropriate Illinois State Court located in Cook County, Illinois; (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Game, but in no event attorneys' fees; and (3) under no circumstances will Entrant be permitted to obtain awards for, and Entrant hereby waives all rights to claim, indirect, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. GrubHub Sign-Up Form for Restaurants

Select one (1) GrubHub service package for the restaurant listed on the GrubHub sign-up form ("Restaurant"). "Order" shall mean the dollar amount of the food and beverage subtotal, including delivery fee, if any, for each online Restaurant order placed using GrubHub. 1. Either Party may terminate this Agreement for any reason upon notice to the other party. 
2. The term of this Agreement shall begin when the restaurant is "live" on GrubHub Websites (which include GrubHub.com, and/or Allmenus.com) ("Live Date") and terminate on the effective date of any termination.
3. Party owing payments shall remit remaining payments to the other Party within 30 days following the term of this Agreement.
4. GrubHub shall be an independent contractor of Restaurant during the term of this Agreement.
5. GrubHub shall provide certain services to Restaurant consistent with GrubHub's business practices and at GrubHub's sole discretion including advertising, sales and revenue collection (the "Services").
6. Restaurant shall provide notice to all Restaurant staff that telephone conversations with GrubHub made in connection with the Services or this Agreement may be recorded.
7. During the term of the Agreement, Restaurant shall make all payments due and owing to GrubHub.
8. Restaurant must provide an accurate copy of its current in-store Restaurant menu ("Menu") within a reasonable time before the Agreement term begins.
9. Restaurant must notify GrubHub in writing of any changes to the Menu at least seven (7) business days before such changes go into effect.
10. FOR RESTAURANTS IN ALL STATES (EXCEPT FOR THE FOLLOWING: FL, GA, MI, UT and VA)
    Restaurant shall provide GrubHub instructions for computing any sales, use, privilege, gross receipts, restaurant, excise or other tax due in connection with the sale of food or drink (and delivery fee, if applicable) by Restaurant through GrubHub ("Sales Tax"). GrubHub shall compute Sales Tax pursuant to such instructions. GrubHub shall collect Sales Tax on behalf of Restaurant, shall tender collected Sales Tax to the Restaurant, and Restaurant shall be solely responsible for (a) verifying that the collected, tendered Sales Tax amount is correct, (b) filing all required Sales Tax returns and associated forms and (c) remitting all required Sales Tax to the appropriate taxing authorities.
    ONLY FOR RESTAURANTS IN THE FOLLOWING STATES: FL, GA, MI, UT and VA
    GrubHub shall compute any sales, use, privilege, gross receipts, restaurant, excise or other tax due in connection with the sale of food or drink (and delivery fee, if applicable) by my Restaurant through GrubHub ("Sales Tax"). GrubHub shall collect Sales Tax on behalf of Restaurant. GrubHub shall be responsible for (a) verifying that the collected, tendered Sales Tax amount is correct, (b) filing all required Sales Tax returns and associated forms and (c) remitting all required Sales Tax to the appropriate taxing authorities.
11. Restaurant warrants that it shall be solely responsible for every claim, allegation, damage, liability, obligation, award, settlement and expense, including without limitation attorneys' fees and court costs (collectively, "Losses") arising in connection with the Restaurant's sale of any food and drink, including alcohol, including, without limitation, computation and payment of Sales Tax to the appropriate taxing authority (excluding Restaurants in FL, GA, MI, UT and VA); compliance with any applicable laws, taxes or tariffs related to internet electronic commerce; delivery service and parking accessibility, if any; compliance with appropriate health codes with respect to preparation of food and beverages; and all matters concerning quality and condition of the food and beverages.
12. GrubHub does not warrant that the functions of GrubHub Websites will meet Restaurant expectations of website traffic or resulting business or that the operation of GrubHub Websites will be uninterrupted and/or error-free. Restaurant shall be responsible for all Losses associated with occasional downtime of GrubHub Website due to line interruptions and/or other instances beyond GrubHub's control.
13. This Agreement will be governed by and construed in accordance with the laws of the State of Illinois, without giving effect to the conflict of law principles thereof. All disputes related to this Agreement will be submitted to the exclusive jurisdiction and venue of state or federal courts located in Chicago, Illinois, which the parties agree is the most appropriate and convenient for the resolution of disputes related to this Agreement.
14. GrubHub's Terms of Use at http://www.grubhub.com/termsofuse/, which are subject to change, are incorporated herein by reference and Restaurant agrees to be bound by said terms.
15. Restaurant grants GrubHub an unlimited license, solely for the purposes expressly set forth in this Agreement, to use any information or content related to the Restaurant ("Restaurant Content"), in connection with the Services, offered or displayed through any form of media.
16. Restaurant will indemnify, defend and hold harmless GrubHub, its business units, and each of GrubHub's respective officers, directors, shareholders, employees, representatives, successors and assigns, from and against all Losses, to the extent such Losses are related to: (a) any development, operation or maintenance of the GrubHub Websites done at Restaurant's direction or request; (b) any claim that Restaurant Content provided by Restaurant infringes or misappropriates any third party's copyright, U.S. patent, trademark or other proprietary right; or (c) the breach of any representation, or warranty made by Restaurant in this Agreement.
17. This Agreement may be executed in counterparts, in hard copy or electronically, each of which will be deemed an original, but both of which together will constitute one and the same instrument.
    The following terms and conditions shall apply to Restaurants engaging GrubHub to create Custom Websites
18. In addition to the Services, Restaurant authorizes GrubHub to secure a domain name for Restaurant to develop and/or improve and provide web page maintenance for Restaurant for advertising purposes ("the Project"). Restaurant agrees to pay GrubHub a fee of $1.00 per order plus applicable credit card processing fees for each order originating from the Project web page.
19. Restaurant warrants that Restaurant owns all content submitted by Restaurant to GrubHub in connection with the Project, or that Restaurant has secured all necessary rights from the owner to use all such content. Restaurant further warrants that no content submitted will contain anything that may violate GrubHub's Terms of Use or otherwise interfere with, abuse or compromise, the function of any hosting service or GrubHub services.
20. GrubHub shall own all intellectual property rights associated with the finished assembled Project website, web pages and associated content created by GrubHub. This content includes, but is not limited to the design, photos, graphics, source code, work-up files, text, and any program(s) specifically designed for or purchased on behalf of Restaurant in connection with the Project.
21. Restaurant will indemnify, defend and hold harmless GrubHub, its business units, and each of GrubHub's respective officers, directors, shareholders, employees, representatives, successors and assigns, from and against all Losses, to the extent such Losses are related to: (a) the development, operation, maintenance of the Project website done at Restaurant's direction or request; (b) any claim that content provided by Restaurant infringes or misappropriates any third party's copyright, U.S. patent, trademark or other proprietary right; or (c) any claim that the Project website and content displayed therein is defective, inaccurate or causes injury to any third party. GrubHub does not warrant that the functions of the Project website, will meet Restaurant's expectations of site traffic or resulting business or that the operation of the Project web pages will be uninterrupted and/or error-free. Restaurant will not hold GrubHub responsible for occasional downtime of the Project website due to line interruptions and/or other instances beyond GrubHub's control.

This Agreement, including any future Agreement modifications, constitutes the entire agreement of the Parties hereto with respect to the subject matter hereof and supersedes any and all prior agreement, written and oral, with respect thereto. Restaurant agrees that acceptance of any Services shall be subject to the then-current Agreement terms, and continued acceptance of the Services following Agreement modifications confirms that Restaurant has read, accepted, and agreed to be bound by such modifications. All Agreement modifications shall be posted at www.grubhub.com/legal/#signupform and shall be effective immediately upon posting.

The undersigned hereby agrees to the terms, conditions and stipulations of this Agreement as an authorized agent of the Restaurant.

Restaurant shall have a ten (10) day grace period following posting of any Agreement modification to cancel the Agreement in accordance with the Agreement terms ("Grace Period"). The most recent Agreement modification shall not apply to any Restaurant that cancels the Agreement during the Grace Period. The undersigned hereby agrees to the terms, conditions and stipulations of this Agreement as an authorized agent of the Restaurant.

Lesson one: We can reject and remove any comment without warning or explanation. We're not going to as long as you follow our guidelines, but we do reserve that right. As for those guidelines:

• No offensive language.
• Discrimination based on the grounds of race, religion, gender, national origin, age, marital status, sexual orientation or disability will not be tolerated.
• Referencing illegal activity is not okay.
• Competing restaurants are not allowed to post negative reviews. Violation of this policy will result in permanent removal from our site without a refund.
• Allegations of health code violations are not acceptable.

Appropriate

Children under 13 are not allowed to use the site. But, hey, like the bright lights of the big city, we know our power to lure the masses does not discriminate. Let's keep it clean, even by younger standards.
